An ACORD 25 Certificate of Liability Insurance is a snapshot informational summary of policies in force on the date it is issued—it is not an insurance policy, and it does not independently confer, amend, or extend coverage to a third party.
To obtain reliable documentation of Additional Insured and Waiver of Subrogation rights, you must collect the actual policy endorsement pages alongside the ACORD 25 and check the ACORD 25 certificate for free.
Read the ACORD 25 Header Disclaimer Carefully
Every standard ACORD 25 form published by ACORD prints two prominent capital-letter disclaimers across the top of the page:
"THIS CERTIFICATE IS ISSUED AS A MATTER OF INFORMATION ONLY AND CONFERS NO RIGHTS UPON THE CERTIFICATE HOLDER. THIS CERTIFICATE DOES NOT AFFIRMATIVELY OR NEGATIVELY AMEND, EXTEND OR ALTER THE COVERAGE AFFORDED BY THE POLICIES BELOW. THIS CERTIFICATE OF INSURANCE DOES NOT CONSTITUTE A CONTRACT BETWEEN THE ISSUING INSURER(S), AUTHORIZED REPRESENTATIVE OR PRODUCER, AND THE CERTIFICATE HOLDER."
Immediately below that box sits a second warning:
"IMPORTANT: If the certificate holder is an ADDITIONAL INSURED, the policy(ies) must have ADDITIONAL INSURED provisions or be endorsed. If SUBROGATION IS WAIVED, subject to the terms and conditions of the policy, certain policies may require an endorsement. A statement on this certificate does not confer rights to the certificate holder in lieu of such endorsement(s)."
In plain English: even if an insurance producer types into the Description of Operations box that your company is an Additional Insured, that sentence on the ACORD 25 has no legal force if the underlying insurance policy itself was never endorsed.
Why Endorsements Govern Over Certificate Wording
As the National Association of Insurance Commissioners (NAIC) defines it, a Certificate of Insurance is a statement of coverage summary, whereas an endorsement is the written form attached to the policy that modifies who is insured and under what conditions.
Because the ACORD 25 header explicitly states that the certificate does not amend, extend, or alter the coverage afforded by the policies, the underlying insurance policy and its attached endorsements govern whenever a discrepancy arises between wording typed in the Description of Operations box and the policy itself.
ACORD 25 Alone vs. ACORD 25 + Endorsement Packet
| Documentation Collected | What It Evidences | Residual Risk to Property Owner / GC |
|---|---|---|
1-Page ACORD 25 Only (No ADDL INSD Flag) | Vendor had active insurance policies on the issue date; you are listed in the Certificate Holder box. | High: Zero defense or indemnity rights under the vendor's policy if you are sued over the vendor's work. |
1-Page ACORD 25 With ADDL INSD = Y Only | Producer represents that an Additional Insured endorsement exists on the policy. | Moderate: You cannot see whether the endorsement excludes completed operations (CG 20 37), requires direct contract privity (CG 20 33), or contains a typographical error in your entity name. |
ACORD 25 + Attached Endorsement Pages (CG 20 10, CG 20 37, CG 24 04, WC 00 03 13) | Shows both the summary limits and the exact ISO form numbers, edition dates, and scheduled entity names attached to the policy. | Low: Confirms the actual policy endorsements match the written vendor contract benchmarks. |
Worked Example: Catching a Missing Endorsement Behind a Checked Box
Suppose 123 Main Street Holdings LLC and its managing agent, Harborview Property Management Inc., hire Apex Plumbing LLC for a major commercial repiping project under the High-Risk Trade benchmark ($2,000,000 Each Occurrence / $4,000,000 General Aggregate, plus CG 20 10 04 13 ongoing operations and CG 20 37 04 13 completed operations endorsements). They also hire Metro HVAC Services Inc. under the $1,000,000 / $2,000,000 commercial maintenance benchmark.
Apex Plumbing LLC uploads a 2-page PDF packet containing:
- Page 1 (ACORD 25): Shows
$2,000,000Each Occurrence /$4,000,000General Aggregate,ADDL INSD = Y,SUBR WVD = Y, and lists123 Main Street Holdings LLCandHarborview Property Management Inc.in the Description of Operations. - Page 2 (Endorsement
CG 20 10 04 13): Schedules123 Main Street Holdings LLCandHarborview Property Management Inc.for ongoing operations.
Notice what is missing: CG 20 37 04 13 (Completed Operations) is not attached, nor is it referenced by form number. If Harborview Property Management Inc. relied solely on the ADDL INSD = Y checkbox on Page 1, they would never know that their Additional Insured protection ends the moment Apex Plumbing LLC finishes the job and walks off the property.
